Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you and Vizier Inc.governing your use of Vizier and all related services (collectively, the “Service”). Please read them carefully. If you have questions, email us at legal@cmndr.app.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” refers to that entity.

2. Eligibility

To use Vizier, you must:

  • Be at least 18 years old. The Service is designed for professional use and is not intended for anyone under the age of 18.
  • Have the legal authority to enter into these Terms — individually or on behalf of the entity you represent.
  • Have the right to connect any third-party accounts (Gmail, Google Calendar, Slack) you link to the Service. By connecting an account, you represent that you own it or are otherwise authorized to grant Vizier access to it. Do not connect accounts belonging to others without their explicit permission.
  • Comply with all applicable laws and regulations in your jurisdiction when using the Service.

3. Beta Status

Vizier is currently in private beta and is available by invitation only. Access is granted at our sole discretion and may be revoked at any time.

Beta software is experimental. During the beta period, we may — without notice — lose your data, reset or delete accounts, take the Service offline, make breaking changes to features, or shut down the beta entirely. Do not rely on Vizier as your sole record of important information. We are not liable for any data loss or service interruption during the beta.

We will make reasonable efforts to notify users before planned shutdowns, but we make no guarantees of uptime, availability, or data durability during the beta period.

4. Description of the Service

Vizier is an AI chief of staff that connects to your Gmail, Google Calendar, and Slack accounts to help you prioritize work and act on it. The Service includes:

  • Inbox, calendar, and Slack triage — surfacing what matters across your connected accounts.
  • AI drafting — generating reply drafts and message suggestions for your review.
  • Task detection and management — identifying action items from your email, calendar, and Slack, and organizing them into a task list you control.
  • Morning briefing emails — a daily email summary of your priorities, delivered on your configured schedule.
  • Vizier conversational assistant — a chat interface with full context of your connected accounts.
  • Memory — a persistent store of facts and preferences that personalizes AI outputs over time.

We may add, change, or remove features at any time, particularly during the beta period.

5. User Responsibilities and Acceptable Use

You are responsible for your use of the Service and for any content you send or actions you take through it. You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Connect any account that you do not own or are not authorized to use, or grant Vizier access to data belonging to others without their consent.
  • Use AI-generated drafts to impersonate another person or entity, send deceptive communications, or engage in phishing, spam, or any other form of abuse.
  • Attempt to probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measures.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
  • Scrape, crawl, or use automated means to extract data from the Service beyond normal use.
  • Use the Service to store, transmit, or process content that is illegal, abusive, defamatory, or violates the rights of any third party.
  • Access another user's account or data without authorization.

We reserve the right to suspend or terminate your account for violations of these rules.

6. Third-Party Integrations

The Service integrates with third-party platforms including Google (Gmail and Google Calendar) and Slack. Your use of those platforms through Vizier is also governed by their respective terms of service:

By connecting a third-party account, you authorize Vizier to access and process data from that account solely to provide the Service. You remain solely responsible for complying with the terms of those third-party services.

Vizier is not responsible for the availability, accuracy, or reliability of any third-party service. If a third-party service changes its API, terms, or availability in a way that affects Vizier, we will make reasonable efforts to adapt — but we are not liable for any resulting disruption.

7. Intellectual Property

Your content

You retain ownership of all content you create or that originates from your connected accounts — including your emails, calendar events, Slack messages, tasks you create, and memory entries you save. These Terms do not transfer any ownership of your content to Vizier.

By connecting your accounts and using the Service, you grant Vizier Inc. a limited, non-exclusive, worldwide license to access, copy, process, and display your content solely for the purpose of providing the Service to you. This license terminates when you disconnect the relevant integration or delete your account.

Vizier's intellectual property

The Service — including its code, design, AI models, features, interfaces, trademarks, and all other elements — is owned by Vizier Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Vizier's name, logo, or branding without our prior written consent.

You may not copy, reproduce, distribute, or create derivative works of any part of the Service without our express written permission.

8. AI-Generated Content

Vizier uses AI models to generate summaries, draft replies, detect tasks, prepare meeting briefs, and answer questions in the Vizier assistant. You acknowledge and agree that:

  • All AI-generated outputs are suggestions for your review. They are not final decisions, instructions, or advice of any kind.
  • AI outputs do not constitute legal, financial, medical, tax, or any other professional advice. Do not rely on them as a substitute for qualified professional counsel.
  • AI models can produce inaccurate, incomplete, or misleading results. You are solely responsible for reviewing, editing, and deciding whether to act on any AI-generated content before sending or acting on it.
  • Vizier is not liable for any consequences arising from your use of or reliance on AI-generated content.

9. Privacy and Data Use

Your use of the Service is governed by our Privacy Policy, which describes in detail how we collect, use, store, and share your personal data. By using the Service, you agree to the practices described in the Privacy Policy.

We never use your email content, calendar data, or Slack messages to train AI models — ours or anyone else's. AI processing is handled by Firebase AI Logic (Google Vertex AI), which runs entirely within Google's infrastructure. Google does not use API inputs to train its models.

10. Fees and Billing

The Service is currently free of charge during the beta period.

We reserve the right to introduce paid plans in the future. If and when we do, we will provide at least 30 days' advance notice by email to the address associated with your account before any charges apply. Your continued use of the Service after pricing takes effect will constitute your agreement to the applicable fees.

We will publish clear pricing terms at that time, including billing cycles, cancellation rights, and refund policies.

11. Termination

By you

You may stop using the Service at any time. To delete your account and associated data, email legal@cmndr.app with the subject line “Delete my account” from the email address on your account. Data deletion follows the process described in our Privacy Policy.

By Vizier

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You breach any provision of these Terms.
  • We reasonably believe your use of the Service poses a security risk, legal liability, or harm to other users.
  • We discontinue the Service (including ending the beta program).

Upon termination, your right to access the Service ends immediately. We will delete your data in accordance with our Privacy Policy.

12. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIZIER INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
  • That the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • That any AI-generated content will be accurate, complete, current, or reliable.
  • That defects will be corrected, or that the Service or its servers are free of bugs or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIZIER INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business, goodwill, or anticipated savings.
  • Damages resulting from your use of or inability to use the Service, including any AI-generated content.
  • Damages resulting from unauthorized access to or alteration of your data.

IN CASES WHERE LIABILITY CANNOT BE FULLY EXCLUDED, VIZIER INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO VIZIER IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100.00).

These limitations apply whether the claim is based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Vizier has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so the above may not fully apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vizier Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms.
  • Your violation of any applicable law or the rights of a third party.
  • Your unauthorized use of any third-party account or data connected through the Service.
  • Any content you send or actions you take through the Service, including AI-generated drafts you review and send.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware. You consent to personal jurisdiction in those courts and waive any objection to venue.

Before filing any legal claim, we encourage you to contact us at legal@cmndr.app so we can attempt to resolve the matter informally.

16. Changes to These Terms

We may update these Terms from time to time. The “Effective date” at the top of this page will reflect when the current version was last updated.

For material changes — those that significantly affect your rights or obligations — we will provide at least 30 days' advance notice by email to the address on your account and/or by a notice within the Vizier dashboard before the changes take effect.

Your continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

17. General

  • Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Vizier Inc. regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
  • No waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
  • Force majeure: We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, internet outages, or third-party service failures.
